AI automation and AI agent implementation
Marketing automation and CRM workflows
System integrations, APIs, and webhooks

Ongoing automation management and optimization
All Services are provided as professional services, not as a software platform or marketplace.
Specific scope, timelines, and deliverables will be agreed upon separately in writing (proposal, statement of work, or invoice).
3. Eligibility
You must be at least 18 years old and have the legal authority to enter into a binding agreement to use our Services on behalf of yourself or an organization.
4. Client Responsibilities
You agree to:
Provide accurate, complete, and timely information required to deliver the Services
Provide access credentials, approvals, and inputs necessary for automation setup and management
Ensure that your use of automation, AI agents, messaging, and outreach complies with all applicable laws and platform policies
Review and test delivered automations before live deployment where applicable
Moto G is not responsible for delays, errors, or failures caused by incomplete information, delayed approvals, or third-party platform changes.
5. AI & Automation Disclaimer
Our Services may involve AI models, automation tools, and third-party platforms. You acknowledge that:
AI outputs are probabilistic and may require human review
Automation outcomes depend on third-party platforms, APIs, and data sources
Moto G does not guarantee specific business results, revenue outcomes, or performance metrics
You remain responsible for final decisions, approvals, and usage of all outputs produced through automations and AI systems we build or manage.
6. Payments, Fees, and Subscriptions
Fees, billing cycles, and payment terms will be defined in your agreed proposal, invoice, or subscription plan.
Unless otherwise stated:
Fees are non-refundable once work has commenced
Subscription or retainer services renew per the agreed billing cycle unless cancelled in writing
Failure to pay may result in suspension or termination of Services
Moto G does not store payment card information. Payments are processed via third-party payment providers.
7. Intellectual Property
a. Pre-Existing Materials
Each party retains ownership of its pre-existing intellectual property, tools, templates, frameworks, and know-how.
b. Client Deliverables
Unless otherwise agreed in writing:
Upon full payment, the client receives a license to use the delivered automations and configurations for their internal business use
Moto G retains the right to reuse general concepts, frameworks, and non-confidential methodologies
c. No Resale or Redistribution
You may not resell, sublicense, or redistribute Moto G’s deliverables, templates, or internal systems without prior written consent.
8. Confidentiality
Both parties agree to keep confidential any non-public, proprietary, or sensitive information shared during the course of the engagement.
This obligation survives termination of Services.
9. Prohibited Use
You may not use our Services to:
Violate applicable laws or regulations
Send spam, unsolicited messages, or unlawful communications
Infringe intellectual property or privacy rights
Deploy automations for deceptive, fraudulent, or harmful purposes
Moto G reserves the right to refuse or terminate Services for misuse.
10. Third-Party Platforms
Our Services may rely on third-party platforms (e.g., CRMs, AI providers, messaging tools). Moto G is not responsible for:
Downtime, errors, or policy changes of third-party platforms
Actions taken by third-party providers
Account suspensions caused by client misuse or platform violations
11. Termination
Either party may terminate Services in accordance with the agreed engagement terms.
Moto G may suspend or terminate Services immediately if:
These Terms are violated
Payments are overdue
Services are used unlawfully or unethically
Termination does not relieve payment obligations for work already performed.
12. Disclaimer of Warranties
Services are provided “as is” and “as available.”
To the maximum extent permitted by law, Moto G disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement.
13. Limitation of Liability
To the fullest extent permitted by law:
Moto G shall not be liable for indirect, incidental, consequential, or punitive damages
Total liability shall not exceed the amount paid to Moto G for the Services giving rise to the claim
Your sole remedy for dissatisfaction is to discontinue use of the Services.
14. Indemnification
You agree to indemnify and hold harmless Moto G from any claims, damages, or losses arising from:
Your misuse of the Services
Violation of laws or platform policies
Content, data, or instructions you provide
15. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
